These Terms of Service are entered into by and between you and GoDomo, Inc. ("GoDomo, "Tackle", "we," or "us"). The following terms and conditions, together with any documents they expressly incorporate by reference (collectively, "Terms of Service"), govern your access to, and use of, the GoDomo platform, including any content, functionality, and services offered on or through https://gotackle.ai or any mobile application made available by GoDomo (the "Platform"), whether as a guest or a registered user.
Please read the Terms of Service carefully before you start to use the Platform. By using the Platform, or by clicking to accept or agree to the Terms of Service when this option is made available to you, you accept and agree to be bound and abide by these Terms of Service, incorporated herein by reference. If you do not want to agree to these Terms of Service, you must not access or use the Platform.
By accepting these Terms of Service or using the Platform, you represent that you have read and consent to the GoDomo Privacy Policy in addition to these Terms of Service. If at any point you do not agree to any portion of the GoDomo Privacy Policy, you must immediately stop using the Platform.
This Platform is offered and available to users who are 13 years of age or older, and reside in the United States or any of its territories or possessions, and are applying for, or have an executed residential lease agreement, in connection with a property that is owned or managed by an owner or property management agent that is using the Platform.
By using this Platform, you represent and warrant that you meet all of the foregoing eligibility requirements. If you do not meet all of these requirements, you must not access or use the Platform.
We may revise and update these Terms of Service from time to time in our sole discretion. All changes are effective immediately when we post them, and apply to all access to, and use of, the Platform thereafter. However, any changes to the dispute resolution provisions set out in the Binding Arbitration section (see Section 25) will not apply to any disputes for which the parties have actual notice on or before the date the change is posted on the Platform.
Your continued use of the Platform following the posting of a revised Terms of Service means that you accept and agree to the changes. You are expected to check this page from time to time so you are aware of any changes, as they are binding on you. You can see when these Terms of Service were last revised by referring to the “Updated” legend above.
In order to access the Platform for the first time, you must establish an account on the Platform. This account may be established directly by you, or on your behalf by a third party as part of the services such third party is providing you (including, but not limited to, your property management company or other enterprises).
As part of the account establishment process, you must provide the personal information requested during the account sign-up process. By providing your personal information, you represent that such personal information is true, complete, up-to-date and not misleading in anyway. Any personal information you provide is subject to the GoDomo Privacy Policy.
You acknowledge that GoDomo may use your personal information to verify your identity, and may request additional information from you as part of its identity verification process. You agree to provide reasonable cooperation to GoDomo to provide your personal information to the extent necessary for GoDomo to verify your identity.
GoDomo reserves the right to deny access to the Platform to any person or entity at GoDomo’s sole and absolute discretion.
If you choose, or are provided with, a user name, password, or any other piece of information as part of our security procedures, you must treat such information as confidential, and you must not disclose it to any other person or entity. You also acknowledge that your account is personal to you and agree not to provide any other person with access to this Platform or portions of it using your user name, password, or other security information. You agree to notify us immediately of any unauthorized access to or use of your user name or password or any other breach of security. You also agree to ensure that you exit from your account at the end of each session. You should use particular caution when accessing your account from a public or shared computer so that others are not able to view or record your password or other personal information.
We have the right to disable any user name, password, or other identifier, whether chosen by you or provided by us, at any time in our sole discretion for any or no reason, including if, in our opinion, you have violated any provision of these Terms of Service.

We reserve the right to withdraw or amend the Platform, and any services or materials we provide on the Platform, in our sole discretion without notice. We will not be liable if for any reason all or any part of the Platform is unavailable at any time or for any period. From time to time, we may restrict access to some parts of the Platform, or the entire Platform, to users, including registered users.
You may register for various services that GoDomo makes available on the Platform. Such services may require you to agree to separate agreements with GoDomo (“Service Agreements”). You will be presented the applicable Service Agreement prior to your registration for such service. You will be required to agree to the Service Agreement applicable to the service for which you are seeking to register. Any Service Agreement is in addition to these Terms of Service, and supplements these Terms of Service. In the event of any conflict between a Service Agreement and these Terms of Service, the applicable Service Agreement shall control.
Any service made available on the Platform is at GoDomo’s sole discretion, and GoDomo is under no obligation to make any particular service available on the Platform.
From time to time, GoDomo may make available to you on the Platform various services offered by third parties, which are not affiliated with GoDomo (“Third Party Services”).
If you decide to use any Third Party Services, you are responsible for reviewing and understanding any terms and conditions provided by the third party that may govern such Third Party Service. You agree that such third party is responsible for the performance of such Third Party Service.
You further agree that: (i) GoDomo is not responsible or liable for any Third Party Services or any losses, damages or issues that result from your use of any Third Party Services; and (ii) you will pursue recourse for any losses, damages or issues that result from your use of any Third Party Services solely against the third party that provided such Third Party Service, and not against GoDomo.
In order to use the ACH payment functionality of the Platform, you must: (i) be at least 18 years old; (ii) open a “Dwolla Platform” account (“Dwolla Account”) provided by Dwolla, Inc. (“Dwolla”); and (iii) accept the Dwolla Terms of Service and Privacy Policy. Any funds held in or transferred through the Dwolla Account are held or transferred by Dwolla’s financial institution partners as described in the Dwolla Terms of Service. You authorize GoDomo to collect and share with Dwolla your personal information, including full name, date of birth, social security number, physical address, email address and financial information, and you are responsible for the accuracy and completeness of that data. You understand that you will access and manage your Dwolla Account through the Platform, and Dwolla Account notifications will be sent by GoDomo, not Dwolla. GoDomo will provide customer support for your Dwolla Account activity, and can be reached at https://www.gotackle.ai, admin@gotackle.ai and/or +1 (650) 200-3212.
The Platform and its entire contents, features, and functionality (including but not limited to all information, software, text, displays, images, video, and audio, and the design, selection, and arrangement thereof) are owned by the GoDomo, its licensors, or other providers of such material and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.
These Terms of Service permit you to use the Platform for your personal, non-commercial use only. You must not reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any of the material on our Platform, except as follows:

No right, title, or interest in or to the Platform or any content on the Platform is transferred to you, and all rights not expressly granted are reserved by GoDomo. Any use of the Platform not expressly permitted by these Terms of Service is a breach of these Terms of Service and may violate copyright, trademark, and other laws.
The GoDomo name, Tackle name, the GoDomo logo, Tackle logo and all related names, logos, product and service names, designs, and slogans are trademarks of the GoDomo, Tackle or its affiliates or licensors. You must not use such marks without the prior written permission of the GoDomo. All other names, logos, product and service names, designs, and slogans on this Platform are the trademarks of their respective owners.
You may use the Platform only for lawful purposes and in accordance with these Terms of Service. You agree not to use the Platform:

The Platform may contain message boards, chat rooms, personal web pages or profiles, forums, bulletin boards, and other interactive features (collectively, "Interactive Services") that allow users to post, submit, publish, display, or transmit to other users or other persons (hereinafter, "post") content or materials (collectively, "User Contributions") on or through the Platform.
All User Contributions must comply with the Content Standards set out in these Terms of Service.

However, we do not undertake to review any material before it is posted on the Platform, and cannot ensure prompt removal of objectionable material after it has been posted. Accordingly, we assume no liability for any action or inaction regarding transmissions, communications, or content provided by any user or third party. We have no liability or responsibility to anyone for performance or nonperformance of the activities described in this section.

WITHOUT LIMITING THE FOREGOING, NEITHER GODOMO NOR ANYONE ASSOCIATED WITH GODOMO REPRESENTS OR WARRANTS THAT THE PLATFORM, ITS CONTENT, OR ANY SERVICES OR ITEMS OBTAINED THROUGH THE PLATFORM WILL BE ACCURATE, RELIABLE, ERROR-FREE, OR UNINTERRUPTED, THAT DEFECTS WILL BE CORRECTED, THAT OUR SITE OR THE SERVER THAT MAKES IT AVAILABLE ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS, OR THAT THE PLATFORM OR ANY SERVICES OR ITEMS OBTAINED THROUGH THE PLATFORM WILL OTHERWISE MEET YOUR NEEDS OR EXPECTATIONS.
TO THE FULLEST EXTENT PROVIDED BY LAW, GODOMO HEREBY DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING BUT NOT LIMITED TO ANY WARRANTIES OF MERCHANTABILITY, NON-INFRINGEMENT, AND FITNESS FOR PARTICULAR PURPOSE.
THE FOREGOING DOES NOT AFFECT ANY WARRANTIES THAT CANNOT BE EXCLUDED OR LIMITED UNDER APPLICABLE LAW.
TO THE FULLEST EXTENT PROVIDED BY LAW, IN NO EVENT WILL THE COLLECTIVE LIABILITY OF GODOMO AND ITS SUBSIDIARIES AND AFFILIATES, AND THEIR LICENSORS, SERVICE PROVIDERS, EMPLOYEES, AGENTS, OFFICERS, AND DIRECTORS, TO ANY PARTY (REGARDLESS OF THE FORM OF ACTION, WHETHER IN CONTRACT, TORT, OR OTHERWISE) EXCEED THE APPLICABLE SUBSCRIPTION FEES RECEIVED BY GODOMO IN CONNECTION WITH YOUR USE OF THE PLATFORM, EITHER FROM YOU OR ANY THIRD PARTY PAYING THE APPLICABLE SUBSCRIPTION FEES (ON AN INDIVIDUAL BASIS) ON YOUR BEHALF, FOR THE TWELVE (12) MONTH PERIOD IMMEDIATELY PRIOR TO THE EVENT, ACT OR OMISSION GIVING RISE TO SUCH LIABILITY.
The limitation of liability set out above does not apply to liability resulting from our gross negligence or willful misconduct.
THE FOREGOING DOES NOT AFFECT ANY LIABILITY THAT CANNOT BE EXCLUDED OR LIMITED UNDER APPLICABLE LAW.
You agree to defend, indemnify, and hold harmless GoDomo, its affiliates, licensors, and service providers, and its and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms of Service, any Service Agreement, or your use of the Platform, including, but not limited to, your User Contributions, any use of the Platform's content, services, and products other than as expressly authorized in these Terms of Service, or your use of any information obtained from the Platform.
All matters relating to the Platform and these Terms of Service, the GoDomo Privacy Policy and any Service Agreement, and any dispute or claim arising therefrom or related thereto (in each case, including non-contractual disputes or claims), shall be governed by and construed in accordance with the internal laws of the State of California without giving effect to any choice or conflict of law provision or rule (whether of the State of California or any other jurisdiction).
Please read the following section carefully because it requires you to arbitrate disputes and claims with GoDomo, and limits the manner in which you can seek relief from GoDomo.
Any claim, dispute or controversy of whatever nature arising out of relating to these Terms of Service, the GoDomo Privacy Policy, any Service Agreement or the Platform shall be resolved by final and binding arbitration in accordance with this Section 25. The arbitration shall be conducted by the American Arbitration Association (“AAA”) under the applicable AAA’s rules for consumer arbitration (“AAA Rules”). The arbitration will be submitted to a single arbitrator selected by AAA in accordance with the AAA Rules. Each party shall bear its own attorneys’ fees, cost and disbursements arising out of the arbitration, and each party shall pay its share of the fees and costs of the AAA’s administration of the arbitration and of the arbitrator, as set forth in the AAA Rules.
Within fifteen (15) calendar days after the conclusion of the arbitration, the arbitrator shall issue a written award and a written statement of decision describing the material factual findings and conclusions on which the award is based, including the calculation of any damages awarded. Each party shall fully perform and satisfy the arbitration award within thirty (30) days of service of the award. Judgment on the award may be entered by any court of competent jurisdiction.
The arbitrator’s award shall be final and binding, with no right of appeal.
You may only resolve a dispute with GoDomo on an individual basis. You may not bring a claim as a plaintiff or a class member in a class, consolidated or representative action. Class arbitrations, class actions, private attorney general actions and consolidation with other arbitrations are not allowed under this binding arbitration agreement.
Any cause of action or claim you may have arising out of, or relating to these Terms of Service, the GoDomo Privacy Policy, any Service Agreement or the Platform must be commenced within one (1) year after the cause of action accrues; otherwise such cause of action or claim is permanently barred.
By agreeing to this binding arbitration provision, you understand that you are waiving certain rights and protections which may otherwise be available if a claim or dispute were determined by litigation in court, including, without limitation, the right to seek or obtain certain types of damages precluded by this binding arbitration provision, the right to a jury trial, certain rights of appeal, the right to bring a claim as a plaintiff or class member in any purported class or representative proceeding, and the right to invoke formal rules of procedure and evidence.
By providing GoDomo with a telephone number for a cellular phone or other wireless device, you agree that GoDomo, its affiliates and its service providers may contact you at that number using autodialed or prerecorded message calls, text messages and mobile app notifications to provide informational messages to you regarding the GoDomo services for which you have registered.
No waiver by GoDomo of any term or condition set out in these Terms of Service shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition, and any failure of the GoDomo to assert a right or provision under these Terms of Service shall not constitute a waiver of such right or provision.
If any provision of these Terms of Service is held by a court or other tribunal of competent jurisdiction to be invalid, illegal, or unenforceable for any reason, such provision shall be eliminated or limited to the minimum extent such that the remaining provisions of the Terms of Service will continue in full force and effect.
The Terms of Service, the GoDomo Privacy Policy, any Service Agreement and any other agreement between You and GoDomo that expressly incorporates these Terms of Service, constitute the sole and entire agreement between you and GoDomo regarding the Platform and supersede all prior and contemporaneous understandings, agreements, representations, and warranties, both written and oral, regarding the Platform.
These Terms of Service, the GoDomo Privacy Policy, any Service Agreement and any other agreement between you and GoDomo may not be amended without GoDomo’s express written consent.
This Platform is operated by GoDomo, which is located at 1405 Marshall Street, Suite B, Redwood City, CA 94063.
